Terms of Service

The Short Version

Welcome to Giving Toolbox. Before you dive in, here are the key points in plain English:

  • You need to be at least 18, and your organization needs to be a legitimate U.S. 501(c)(3) nonprofit in good standing to use the paid features that process donations.
  • Community foundation fund holders can create their own independent accounts to track their funds — no org required.
  • We give you a license to use the app. You don’t own it, but you own your data.
  • We’re not a bank, not a charity, and not a fiduciary. We’re a software platform that connects you to Stripe for payments.
  • Donations, ticket sales, auction payments, raffle ticket purchases, golf registrations, and other payments are collected through Stripe and go directly to your nonprofit’s bank account, minus Stripe’s processing fees and our platform fee (1.5% on Free, 0.5% on Premium).
  • Premium subscriptions auto-renew until you cancel. You cancel through your Apple ID subscription settings.
  • You’re responsible for the data you put into the app, the tax receipts you issue to donors, and your compliance with nonprofit regulations — including raffle and gaming laws for any raffle features you use.
  • We’re responsible for keeping the app running, handling your data the way our Privacy Policy says, and being honest with you.
  • If we have a dispute, it’s governed by New York law and handled in Sullivan County, New York.

1. Who We Are and What This Agreement Covers

These Terms of Service (“Terms”) are a contract between you and Nimble Dragon Media, Inc., a New York corporation with its principal place of business at 518 Broadway, Suite 1, Monticello, NY 12701 (“Nimble Dragon Media,” “we,” “us,” or “our”). Nimble Dragon Media operates the Giving Toolbox mobile app, the website at givingtoolbox.com, the nonprofit fundraising pages hosted at nonprofitgive.org, the golf tournament registration pages hosted at teefastgolf.com, and all related services (together, the “Services”).

These Terms apply to anyone who accesses or uses the Services, including:

  • Nonprofit organizations that sign up for an account (“Organizations”)
  • Individuals using the app on behalf of an Organization, including account owners, admins, staff, and volunteers (“Users”)
  • Community foundation fund holders who create independent fund-tracking accounts (“Fund Holders”)
  • Donors, event attendees, auction bidders, raffle participants, golf registrants, and peer-to-peer fundraiser supporters (“Supporters”)

By creating an account, making a donation, buying a ticket, or otherwise using the Services, you accept these Terms and our Privacy Policy.

If you are agreeing to these Terms on behalf of a nonprofit organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree, do not use the Services.


2. Eligibility

To Use the App as a User

You must be at least 18 years old to create an account or use the app on behalf of an Organization. By using the Services, you represent that you are 18 or older and have the legal capacity to enter into this agreement.

To Use the App as an Organization

To operate a Giving Toolbox Organization account with access to paid features like donation processing, your Organization must be:

  • A lawful United States entity, typically a 501(c)(3) public charity in good standing with the IRS, or a fiscal sponsor thereof
  • Located in the United States, with a valid U.S. address, phone number, and bank account (connected through Stripe)
  • In compliance with all applicable federal, state, and local nonprofit regulations, including registration for charitable solicitation in every state where required

We may request documentation of your tax-exempt status at any time. We reserve the right to refuse service, terminate accounts, or suspend access if we reasonably believe an Organization is not eligible.

To Use the App as a Fund Holder

Community foundation fund holders may create an independent account to track funds held at a community foundation. Fund Holders:

  • Must be at least 18 years old
  • Must represent that they hold one or more named funds (Donor-Advised Fund, Scholarship Fund, Agency Endowment, Field of Interest Fund, Designated Fund, or Fiscally Sponsored Project) at a community foundation
  • Acknowledge that Giving Toolbox is a record-keeping tool — it is not connected to any community foundation’s systems, and the community foundation is not a party to the Fund Holder’s Giving Toolbox account

To Donate, Buy Tickets, or Bid as a Supporter

You must be at least 18 years old to make a donation, purchase a ticket, purchase a raffle ticket, or place a bid in an auction through the Services. Minors may use Giving Toolbox as volunteers for an Organization, but only with parental consent obtained by the Organization.


3. Accounts and Security

Account Creation

When you create an Organization account, you give us your name, email, phone number, organization details, and set a password. You promise that the information you provide is accurate and complete, and you agree to keep it up to date.

Password and Access

You are responsible for keeping your password secure. You are responsible for all activity that happens under your account. If you suspect unauthorized access, email us at support@givingtoolbox.com immediately.

Roles Within an Organization

Giving Toolbox has three user roles: Account Owner, Admin, and Staff. The Account Owner has final authority over the Organization’s account, can assign Admins, and is the only person who can delete the Organization’s account. Admins can manage day-to-day operations but not billing or other admins. Staff can submit expenses and participate in assigned workflows based on the permissions the Account Owner configures for them.

If you are a User of an Organization’s account (not the Account Owner), your access depends on your role, your Organization’s policies, and the Account Owner’s discretion. Your Organization, not us, decides who has access.

Multiple Scopes

One Giving Toolbox login can be connected to more than one scope — for example, a person who serves as an admin for a nonprofit Organization and also personally holds a Donor-Advised Fund can access both from the same login and switch between them in the app. Each scope’s data is fully separated and independent.

One Account Per Organization

Each nonprofit organization should have one Giving Toolbox account. You may not sign up multiple accounts to circumvent subscription limits or fees.


4. License to Use the App

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Giving Toolbox app for the purpose of running your nonprofit’s operations or tracking your community foundation fund, subject to these Terms.

You may not:

  • Copy, modify, distribute, sell, or lease the Services or any part of them
  • Reverse engineer, decompile, or attempt to extract the source code of the app
  • Bypass, disable, or interfere with security features
  • Use the Services to build a competing product or service
  • Scrape, harvest, or extract data from the Services using automated tools
  • Use the Services for any illegal, fraudulent, or unauthorized purpose
  • Sublicense, resell, or otherwise make the Services available to third parties
  • Remove or alter copyright, trademark, or other proprietary notices

Violation of these restrictions can result in immediate account termination.


5. Subscription Plans, Billing, and Cancellation

Plan Tiers

Giving Toolbox offers:

  • Free — Access to core features with the following limits: unlimited expense submissions, 100 AI receipt scans per 30-day period, 1 active grant, 0 staff accounts (the Account Owner can use the app but cannot add staff), up to 50 contacts, and other limits as disclosed in the app
  • Premium Monthly — $34.99 per month; unlocks all features including all fundraising modules, unlimited staff, unlimited grants, unlimited contacts, unlimited AI receipt scans, and all export formats
  • Premium Annual — $279.99 per year (savings compared to monthly)
  • TeeFast Golf Per-Event — $99.99 one-time purchase for golf tournament management features, single event
  • TeeFast Golf Annual — $149.99 per year for unlimited TeeFast Golf events
  • Prices and plan features may change. We will give you notice before any price change affects your subscription.

How Billing Works

Paid subscriptions are sold through the Apple App Store in-app purchase system. When you subscribe, Apple charges your Apple ID payment method on file. We do not process subscription payments ourselves — Apple does.

Auto-Renewal

Unless you cancel, your subscription renews automatically at the end of each billing period. Apple charges your payment method at the start of each new period.

How to Cancel

To cancel your Premium subscription, go to your iPhone’s Settings > [Your Name] > Subscriptions, find Giving Toolbox, and tap Cancel Subscription. Your subscription will remain active until the end of the current billing period, then lapse to the Free tier. You can also cancel by contacting Apple directly.

Canceling does not delete your account — your data remains available on the Free tier. To delete your account entirely, use the Delete Organization Account feature in the app’s Settings.

Refunds

All subscription fees are handled by Apple according to Apple’s App Store refund policy. We do not process refunds directly. To request a refund, go to reportaproblem.apple.com. We do not control Apple’s refund decisions.

Platform Fee on Payments

Separate from your subscription, Giving Toolbox charges a platform fee on each payment processed through Stripe (donations, ticket sales, auction payments, raffle ticket purchases, golf registration fees, and similar transactions). The platform fee is:

  • Free tier: 1.5% of each transaction
  • Premium tier: 0.5% of each transaction

The platform fee is deducted from each transaction before funds are transferred to the Organization. Stripe’s standard processing fees (currently 2.9% + $0.30 per transaction) apply on top of our platform fee and are set by Stripe, not by us. Platform fee rates are current as of the effective date of these Terms. We may change platform fee rates from time to time with at least 30 days’ notice to Account Owners.

The “donor covers fees” toggle in the app, when enabled, allows donors to voluntarily cover both the Stripe fee and the platform fee at checkout. Most donors check this option, effectively making the payment features free for the Organization on those transactions.


6. Payments Through Stripe

Giving Toolbox uses Stripe Connect to process donations, event ticket sales, silent auction payments, raffle ticket purchases, golf tournament registration fees, and other payments on behalf of Organizations. By using the payment features, you agree to:

  • Be bound by Stripe’s Connected Account Agreement
  • Have a validly registered U.S. bank account linked to Stripe
  • Accept that Stripe, not Giving Toolbox, is the actual payment processor
  • Accept that funds are held in Stripe’s custody, not ours, and released to your bank account on Stripe’s payout schedule

Chargebacks and Refunds

If a donor or purchaser initiates a chargeback or requests a refund, that amount (plus any fees) will be deducted from your Stripe balance or next payout. We are not responsible for chargebacks, refunds, or payout timing — those are governed by Stripe’s terms.

Tax Receipts

Giving Toolbox generates automated donation acknowledgments on behalf of Organizations for donations processed through the Services. It is the Organization’s responsibility to ensure these acknowledgments meet IRS requirements for the Organization’s specific tax-exempt status and the donor’s specific circumstances. We provide a reasonable starting template; you are responsible for verifying it meets your obligations.

Fund Restrictions

When a donor gives to a specific program, grant fund, campaign, or peer-to-peer participant, the Organization is legally and ethically obligated to honor that designation. Giving Toolbox tracks designations in the app, but we do not enforce them — that’s the Organization’s responsibility.

Raffle and Gaming Compliance

The raffle features in Giving Toolbox are software tools only. It is the Organization’s sole responsibility to ensure that any raffle, sweepstakes, or similar promotion it conducts complies with all applicable federal, state, and local laws — including obtaining required permits or licenses, making required disclosures, and complying with prize limits and odds-disclosure rules. Giving Toolbox does not provide legal advice regarding raffle compliance. The in-app compliance confirmation step does not constitute legal clearance.


7. Your Content and Data

You Own Your Data

Everything you put into Giving Toolbox — receipts, expense records, donor contacts, grant data, event information, volunteer records, fund holder records — belongs to you (or to your Organization, if you are a User). We do not claim ownership of your data.

License to Us

To run the Services, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, host, process, transmit, display, and otherwise use your data as needed to operate and improve the Services. This license ends when you delete your account, except for the retention required by law and the 7-year IRS retention for financial records, as described in the Privacy Policy.

Your Responsibility for Your Data

You are responsible for:

  • The accuracy of the information you enter
  • Having the legal right to enter the data you provide (especially donor and volunteer contact information)
  • Obtaining any required consents from individuals whose information you enter (for example, getting permission from donors before adding them as recurring contacts)
  • Backing up your own data — we back up ours, but we recommend exporting your critical data periodically as an additional safeguard

Exports

Organizations can export their donor lists, expense reports, financial reports, and other data through the app at any time in standard formats (CSV, PDF).


8. Acceptable Use

You agree not to use the Services to:

  • Violate any law, regulation, or third-party right
  • Raise funds for any purpose that is illegal, fraudulent, or outside your Organization’s stated tax-exempt purpose
  • Raise funds for political campaigns or lobbying in violation of IRS 501(c)(3) restrictions
  • Solicit donations in states where your Organization is not registered if state registration is required
  • Conduct raffles, gaming, or prize promotions without required permits or in violation of applicable law
  • Upload content that is defamatory, obscene, harassing, hateful, or infringes on anyone’s rights
  • Upload malicious code, viruses, or attempt to harm our systems or other users
  • Misrepresent your Organization’s identity, tax status, or the use of donated funds
  • Use the peer-to-peer fundraising, silent auction, events, crowdfunding, paddle raise, raffle, or golf tournament features for personal fundraising unrelated to a 501(c)(3) organization (the Services are for organizational fundraising only — for personal fundraising, use GoFundMe or similar)
  • Harvest information about other users or supporters for any purpose other than your Organization’s own operations

We may review accounts, remove content, or suspend accounts that we reasonably believe violate these restrictions. Serious or repeated violations result in termination.


9. Privacy

How we handle your information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to the Privacy Policy.


10. Third-Party Services

Giving Toolbox integrates with services operated by third parties, including Stripe (payment processing), an AI service provider (for AI-powered receipt scanning, business card scanning, and marketing content generation), Amazon Web Services (hosting), Amazon SES (email), Sinch (SMS winner notifications), and Apple (in-app purchases and push notifications). Your use of these integrated services is governed by their own terms and privacy policies, not ours. We are not responsible for the availability, content, or data practices of these third parties.

If any of our third-party providers changes its terms, pricing, or features in a way that materially affects the Services, we will adapt the Services accordingly and give you notice of any material changes.


11. Intellectual Property

Our Rights

The Giving Toolbox app, the website, the nonprofitgive.org fundraising pages, the teefastgolf.com tournament pages, the name “Giving Toolbox,” the name “TeeFast Golf,” all logos, graphics, code, designs, and content created by us are owned by Nimble Dragon Media and protected by copyright, trademark, and other intellectual property laws.

Your Rights

Your Organization’s name, logo, content, and materials uploaded into the Services remain yours.

Feedback

If you send us feedback, suggestions, or ideas about the app, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback to improve the Services without obligation to you. You remain free to use the ideas yourself.


12. Service Changes, Suspension, and Termination

We May Change the Services

We may update, add, remove, or modify features of the Services. We will give notice of material changes when practical, especially changes that reduce functionality you rely on.

We May Suspend or Terminate Access

We may suspend or terminate your account, without refund of prepaid subscription fees, if:

  • You violate these Terms
  • Your Organization is no longer eligible (for example, loss of 501(c)(3) status)
  • We are required to do so by law
  • Your use of the Services poses a security, legal, or reputational risk to us or other users
  • Required payment is not received
  • Your account is inactive for an extended period (we will email the Account Owner before taking action)

You May Close Your Account Anytime

You can delete your Organization’s account through the Settings > Danger Zone > Delete Organization Account feature in the app. Financial records will be retained per the Privacy Policy; all other data will be deleted according to the schedule in that policy.

Effect of Termination

On termination, the license granted in Section 4 ends immediately. Sections that by their nature should survive termination — including payment obligations, intellectual property rights, disclaimers, liability limits, dispute resolution, and governing law — will survive.


13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant that AI-powered features (receipt scanning, business card scanning, marketing content generation) will be accurate in every case — you are responsible for reviewing and verifying AI-generated output before submitting it for expense approval, tax reporting, publication, or any other consequential use.

Giving Toolbox is a software platform. We are not a lawyer, accountant, tax advisor, financial advisor, or fiduciary. Reports, categorizations, and tax receipts generated by the Services are for your convenience. You are responsible for consulting qualified professionals on legal, tax, accounting, and compliance matters — including raffle and gaming law compliance.


14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

WE ARE NOT LIABLE FOR INDIRECT DAMAGES. Nimble Dragon Media will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the Services — including lost profits, lost revenue, lost data, business interruption, or reputational harm — even if we have been advised of the possibility of such damages.

OUR TOTAL LIABILITY IS CAPPED. Our aggregate liability for any and all claims arising out of or related to the Services in any 12-month period will not exceed the greater of (a) the total subscription fees you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

SOME THINGS ARE NOT OUR FAULT. We are not liable for:

  • Stripe payment failures, chargebacks, payout delays, or decisions
  • Apple subscription issues, refund decisions, or App Store availability
  • Loss of data caused by your failure to maintain account access
  • Donor disputes with your Organization over the use of donated funds
  • Your Organization’s compliance (or non-compliance) with nonprofit regulations, state charitable solicitation laws, raffle and gaming laws, or IRS requirements
  • Inaccuracies in AI-generated output that you approve without review
  • Any third-party service outage or misbehavior

Some states do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. In those states, our liability is limited to the fullest extent permitted by law.


15. Indemnification

You agree to defend, indemnify, and hold harmless Nimble Dragon Media, its officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorney’s fees) arising out of:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any law or third-party right
  • Your content uploaded to the Services
  • Your Organization’s handling of donor funds, tax receipts, or charitable solicitation compliance
  • Your Organization’s conduct of raffles, gaming, or prize promotions

16. Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules.

Forum

Any lawsuit or legal proceeding arising out of or related to these Terms or the Services will be brought exclusively in the state or federal courts located in Sullivan County, New York. You and Nimble Dragon Media consent to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

Informal Resolution First

Before filing any lawsuit, you agree to contact us at support@givingtoolbox.com and give us 30 days to try to resolve the dispute informally. Most disputes can be resolved with a phone call.

Class Action Waiver

You agree that any dispute will be brought only in your individual capacity, not as a class action, collective action, or representative proceeding. If this class action waiver is found to be unenforceable, the unenforceable portion will be severed and the rest of this section will remain in effect.

Time Limit

Any claim must be brought within one (1) year after the claim arose, or it is forever barred.


17. General Terms

Entire Agreement

These Terms and the Privacy Policy are the complete agreement between you and Nimble Dragon Media regarding the Services. They supersede any prior agreement or understanding.

No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Severability

If any provision of these Terms is found unenforceable, the rest remains in effect.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.

No Third-Party Beneficiaries

These Terms do not create rights in any third party.

Notices

Notices to you will be sent to the email address on your account. Notices to us should be sent to support@givingtoolbox.com or by certified mail to the address in Section 1.

Export Controls

You agree to comply with all U.S. export control laws. The Services may not be used by individuals on U.S. government denied-party lists or located in U.S.-embargoed countries.

Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility outages, pandemics, and acts of government.


18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will:

  • Update the “Last Updated” date at the top
  • Email Account Owners
  • Post a notice in the app
  • Give you at least 30 days to review before the changes take effect for existing accounts

Your continued use of the Services after the new Terms take effect means you accept them. If you do not accept a material change, your remedy is to stop using the Services and, if you are an Account Owner, delete your account.
